Terms of Service

Welcome to ThesisVault. These Terms of Service (“Terms”) are a legal agreement between you and E Studios, the trading name of Eliyau Ben Baruch (“ThesisVault”, “we”, “us”) governing your use of the ThesisVault app and website at thesis-vault.com (the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What ThesisVault is — and is not

ThesisVault is a personal research journal: a tool for writing and organizing your own notes, memos, and reminders about companies and investment ideas.

ThesisVault is not, and does not provide:

Any tickers, prices, targets, stops, quantities, or values in the app are information you enter yourself into your own private notes. The app performs no financial transactions.

About the figures the app calculates. When you close a position you may record the exit price you got. The app then shows summaries of decisions you have already finished — for example a hit rate, an average gain against an average loss, and a realised total. These are arithmetic on the numbers you typed, nothing more. We do not fetch, verify, audit, or correct them; we do not know whether they are accurate; and they describe only what you told us about the past. They are not a performance record, not a valuation, and not a prediction of anything.

2. Not financial advice

Nothing in the Service is financial, investment, legal, or tax advice, or a recommendation to buy, sell, or hold any security or asset. ThesisVault is a note-taking tool. We are not your broker, adviser, or fiduciary, and using the Service creates no such relationship.

You are solely responsible for your own investment research and decisions. Investing involves risk, including the possible loss of principal. You should consult a licensed financial professional before making investment decisions. To the fullest extent permitted by law, we are not responsible for any decisions you make or any losses you incur.

This applies fully to the summaries described in section 1. Past results do not indicate future results, and a summary the app calculated from your own entries is not a reason to make any investment decision.

3. Your account

You must provide accurate information, keep your login credentials secure, and be responsible for activity under your account. You must be old enough to form a binding contract where you live (and at least 13). One account is for one person; do not share it.

4. Your content

You own the research notes and other content you create (“Your Content”). You grant us a limited license to store, process, and display Your Content back to you solely to operate the Service (for example, to sync it across your devices). We do not claim ownership of Your Content and we do not sell it.

You are responsible for Your Content and for having the right to enter it. You can export it at any time, and you can delete your account and everything in it yourself from inside the app (Me → Delete my account), without asking us.

Records in your Memory cannot be edited or deleted individually while your account exists. That is a product rule, so a finished decision cannot be quietly rewritten later. It does not limit your ability to delete the whole account, which removes your Memory with everything else. See the Privacy Policy.

Community (if and when available). If we later offer an optional community where you can publish selected notes, additional terms will apply to what you choose to share, and you will be responsible for any content you make public. No content is public unless you explicitly opt in and publish it.

5. Acceptable use

You agree not to: use the Service for anything unlawful; attempt to access other users' data; interfere with or disrupt the Service; reverse engineer or copy it except as allowed by law; upload malicious code; or misrepresent yourself.

6. Service availability and changes

The Service is provided on an “as is” and “as available” basis. We may modify, suspend, or discontinue features at any time, and the Service may experience downtime. We do not guarantee it will be uninterrupted or error-free.

7. Disclaimers and limitation of liability

To the fullest extent permitted by law, the Service is provided without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, ThesisVault and its providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or investment or trading losses, arising from or related to your use of (or inability to use) the Service — even if we have been advised of the possibility. Where liability cannot be excluded, it is limited to the greater of the amount you paid us in the 12 months before the claim, or USD 50.

8. Termination

You may stop using the Service at any time, and you may delete your account from inside the app at any time (Me → Delete my account). Deletion is immediate and permanent, so export anything you want to keep before you confirm it. We may suspend or terminate your access if you violate these Terms or to protect the Service or other users.

9. Changes to these Terms

We may update these Terms. Material changes will be reflected by updating the “Last updated” date and, where appropriate, notifying you in the app. Continued use after changes means you accept them.

10. Governing law

These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in Jerusalem, Israel, except where applicable law provides otherwise.
